Terms of Service

These terms govern your use of Vibel, an operations and analytics platform for Shopify merchants (“the Service”), operated by HAVA EXPORT B.V., a company registered in the Netherlands. By installing the Service or creating an account you agree to these terms.
The service
Vibel reads data from Shopify and, where you choose to connect them, other tools (Klaviyo, Meta, Google Ads, GA4, Search Console, TikTok, Pinterest, Stripe, AfterShip, Gorgias, Zendesk, Monday, QuickBooks Online), and turns it into a unified dashboard, a watcher engine that flags issues needing attention, and drafted actions for you to approve. The Service is read-only by default; any action that changes data, spend, or live configuration is shown to you for approval before it runs.
Accounts
You must provide accurate account information and are responsible for activity under your account and for keeping your login credentials secure. You may only connect stores and third-party accounts you are authorized to access. You must be lawfully able to enter into these terms on behalf of your business.
Billing
Paid plans (Growth, Autopilot, Agency) are billed monthly in USD through Shopify Billing, charged to the same store you install the app on. Prices and plan features are shown in the app and may change; we will give notice of price changes before they apply to your next billing cycle. Upgrades take effect immediately with prorated charges; downgrades take effect at the next billing cycle. Refunds, cancellations, and payment disputes follow Shopify's billing policies for apps on the Shopify App Store. The Free plan has no charge and no payment method is required.
Acceptable use
You agree not to use the Service to violate any law, infringe anyone's rights, transmit malware, attempt to bypass its security, scrape or resell its output at scale, or connect data you are not authorized to access. We may suspend or terminate accounts that violate this section.
Data ownership
You own your store, customer, and business data. We do not sell it and do not use it to train third-party AI models. You grant us a limited license to access and process it solely to provide the Service, as described in our Privacy Policy. We own the Service itself, including its software, watcher rules, and generated UI, but not conclusions or content generated specifically from your own data, which you are free to use. Where we process personal data on your behalf, our Data Processing Agreement forms part of these terms and applies automatically - no separate signature is required.
Intellectual property
Vibel and its logos, product name, and underlying software are our property or our licensors'. Nothing in these terms transfers that ownership to you. You may not copy, reverse engineer, or create derivative products from the Service except as the law expressly allows.
AI features
Some features use Anthropic's Claude API to rank, summarize, or draft content from your data. AI output is decision support: recommendations, drafts, and prioritization, not financial, legal, or professional advice, and you are responsible for reviewing anything you choose to send or act on.
Disclaimers
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, and we do not warrant the accuracy of third-party data pulled from connected tools. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the extent permitted by law, Vibel will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
Termination
You may stop using the Service and uninstall it from your Shopify admin at any time. We may suspend or terminate your access for a material breach of these terms, non-payment, or a legal or security requirement. On uninstall, we disable further data access immediately and delete your store's data on the schedule described in our Privacy Policy and Security page, unless we are required to retain specific records by law.
Changes to these terms
We may update these terms as the product evolves. We will update the date above when we do; continued use of the Service after an update means you accept the revised terms.
Governing law
These terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles, except where applicable consumer protection or data protection law requires otherwise.
